1. Acceptance of Terms

Welcome to Phlock ("we," "our," or "us"). By accessing or using our mobile application ("App") and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms within the App or by other means. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

2. Eligibility

To use Phlock, you must:

  • Be at least 13 years of age (or the minimum age required in your jurisdiction)
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using the Service under applicable laws
  • Have a valid Spotify or Apple Music account for authentication

If you are under 18, you represent that you have your parent or guardian's permission to use the Service and that they have read and agree to these Terms on your behalf.

3. Account Registration

To access certain features of the Service, you must create an account by authenticating through Spotify or Apple Music. When you create an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information as needed
  • Keep your account credentials secure and confidential
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.

4. Description of Service

Phlock is a social music curation platform that allows users to:

  • Select and share one song per day with friends
  • Create a "phlock" of up to 5 friends whose daily picks form your playlist
  • Discover music through friends' recommendations
  • Listen to song previews within the App
  • Connect with other users through friend requests
  • Track daily streaks and social engagement

The Service integrates with third-party music platforms (Spotify and Apple Music) for authentication, music search, and playback. Your use of these platforms is subject to their respective terms of service.

5. User Conduct

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Harass, abuse, threaten, or intimidate other users
  • Post or share content that is offensive, defamatory, obscene, or inappropriate
  • Impersonate any person or entity or misrepresent your affiliation
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Use automated means (bots, scrapers, etc.) to access the Service
  • Circumvent any security measures or access restrictions
  • Collect or harvest user data without consent
  • Use the Service to spam or send unsolicited communications
  • Violate the intellectual property rights of others

6. User Content

"User Content" includes any content you submit, post, or share through the Service, including but not limited to profile information, messages, and song selections.

You retain ownership of your User Content. By posting User Content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, and display such content in connection with operating and improving the Service.

You represent and warrant that:

  • You own or have the necessary rights to your User Content
  • Your User Content does not violate the rights of any third party
  • Your User Content complies with these Terms and applicable laws

We reserve the right to remove any User Content that violates these Terms or that we find objectionable, without prior notice.

7. Intellectual Property

The Service, including its design, features, content, and functionality, is owned by Phlock and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes in accordance with these Terms.

Music content, including song metadata, album artwork, and audio previews, is provided by and remains the property of the respective rights holders and music platforms (Spotify, Apple Music). Your use of such content is subject to the terms of those platforms.

8. Third-Party Services

The Service integrates with third-party services including:

  • Spotify: For authentication, music search, and content access
  • Apple Music: For authentication, music search, and content access
  • Supabase: For backend infrastructure and data storage

Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for the content, policies, or practices of any third-party services.

9. Privacy

Your privacy is important to us. Our Privacy Policy describes how we collect, use, and share your information. By using the Service, you agree to our collection and use of information as described in the Privacy Policy.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Any defects or errors will be corrected
  • The Service will meet your specific requirements
  • The results obtained from using the Service will be accurate or reliable

You use the Service at your own risk. We are not responsible for any content posted by users or third parties.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PHLOCK, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, FOR ACCESS TO THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Phlock and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your User Content, your violation of these Terms, or your violation of any rights of another party.

13. Termination

You may terminate your account at any time by contacting us at support@phlock.app or through the App settings.

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include:

  • Violation of these Terms
  • Conduct that we determine is harmful to other users or the Service
  • Extended periods of inactivity
  • Requests by law enforcement or government agencies

Upon termination, your right to use the Service will immediately cease, and we may delete your account and User Content.

14. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the United States, and the arbitrator's decision shall be final and binding.

You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Phlock regarding your use of the Service and supersede any prior agreements or understandings.
